1. TERM OF SERVICE
Upon the execution of this agreement, COSMIC POWER PLAN'S AFFINITY PROVIDER
(Under One or more of Our BRANDS:
(TEXAS HOME ELECTRICITY DotCom & TEXAS ELECTRICITY ONLINE DotCom),
Our Commercial Brand respectively is"TEXAS BUSINESS CLASS" and (TEXAS REP #XXXXX) Retail Electricity Provider) and Sales and Marketing Group (Advanced Online Advertising Solutions (AOAS), doing Business Under The Exclusive Rights and with the permission and written agreement with a KORONA BROTHERS GLOBAL (KBG), (an)
INTERNET TECHNOLOGIES SOLUTION PROVIDER , and IS under the Exclusive Management (of)
The Board Of Directors (for)
THE "IBT" NETWORK (Internet Business Trader BOD) .

(“REP”), agrees to supply the full electricity requirements of the Customer (“Customer”) facilities (identified by the ESIID
number) listed on the Electric Agreement. REP will invoice Customer on a monthly basis for the electricity supply (“Energy
Charges”), transmission and distribution costs charged by the Transmission and Distribution Service Provider (“TDSP”)
and appropriate taxes. Customer agrees to accept service from REP for the term of the agreement and to pay the
associated invoices.

The Price & Terms of this agreement are set forth in the TEXAS REP'S "Electric Agreement.
This Agreement shall become effective on "YOUR" EFFECTIVE PROGRAM DATE IS: xx/xx/xxx THROUGH xx/xx/xxxx
"YOUR"  Contract Date and shall commence on the Utility Transfer Date immediately following such Effective Date and
continue for the term as designated on the "Electric Agreement” and after such date.
This Agreement shall remain in effect until the expiration of the term unless otherwise agreed to by the Parties in writing.

2. Right of Rescission
The Customer has the right to terminate this "Agreement" Without Penalty Within Three (3) Business Days From The Execution Date Of This Agreement.
Customers desiring to terminate pursuant to this provision shall notify REP  ("YOUR" REP IS #XXXXX) by means of the contact information listed above and include in such notification the Customer’s name, address, phone number and
"YOUR" ESI ID _________________________________________________   number(s).

3. RENEWALS AND TERMINATION
A. The Customer will automatically be enrolled on a monthly adjustable market rate at the end of the contract term.
B. The Customer may terminate this Agreement with $150.00 penalty as reference in Paragraph 12 of this
Agreement. For Month-to-month contract, there is no cancellation fee.
C. REP shall have the right to terminate this Agreement without penalty if Customer fails to pay on a timely basis
or Customer otherwise defaults on obligations under this Agreement.
D. REP may terminate this Agreement without penalty if the Utility Transfer Date is delayed for a thirty day (30)
period of time for which, on REP’s sole discretion, is perceived as unreasonable.

4. RETAIL ELECTRIC PROVIDER SERVICES
Customer authorizes, and REP shall: (i) act as Customer’s Retail Electric Provider for all purposes; and (ii) provide all
services required of a Retail Electric Provider. REP shall have no responsibility for payment of any outstanding debts
owed by Customer to the Transportation and Distribution Service Provider (“TDSP”) or previous supplier of electricity.

5. SERVICE CHARACTERISTICS
Service shall be provided in accordance with Customer’s existing connection requirements unless Customer requests a
change by the TDSP and pays for the cost of that change. Customer shall not use the electric power and energy furnished
hereunder as an auxiliary and supplement to any other source of power and shall not resell any capacity or energy
purchased hereunder.

6. PRICE
The price to be paid by Customer to REP for all electricity purchased shall include: the price of the energy supply; the
transmission and distribution charges, and other related charges from your local TDSP; a customer monthly charge (this
fee is waived if the customer usage is more than 499 kwh for the billing month); PUCT assessment; and all applicable
taxes, including Gross Receipts Tax (GRT). Customer will be charged based on actual usage, if actual meter readings are
available. REP may calculate an invoice based on estimated meter readings in the absence of actual meter readings from
the TDSP. Once actual meter readings are received, REP will make adjustments on a subsequent invoice. In addition, the
Customer will be charged for any non-recurring fees and charges (e.g., special meter reads and connection charges)
charged by the Utility or by REP for customer-specific services for the Customer location and such fees and charges will
be itemized on the Customer bill.

7. CHANGES IN CONSUMPTION
Customer acknowledges that the prices offered under this Agreement are based upon Customer’s existing meter(s) and
forecasted usage pattern(s), which is (are) based upon historical usage pattern(s) and Customer’s eligibility for the
TDSP’s applicable rate schedule as of the Effective Date of this Agreement. Customer agrees to notify REP in advance of
any material variances in demand or consumption.

8. BILLING, PAYMENT and INTEREST
Customer will be billed on a monthly basis in either or both paper and electronic format as request by the Customer.
Invoices shall be rendered to Customer at Billing Address as specified in the Electric Agreement. The service period
associated with each invoice will be approximately thirty (30) days and will be based on the TDSP meter read cycle for the
Customer’s facilities. Payment is due upon receipt. Payment will be considered past due if not received by REP within
thirty (30) days following the date the bill was issued. Customer may be charged a five percent (5%) penalty on past due
balances.

9. DEPOSITS
REP reserves the right to request a deposit prior to submitting the switch of Customer’s facilities. Customer reserves the
right to refuse payment of the deposit and cancel the agreement without penalty, prior to the submission of the switch by
REP. If Customer is delinquent in payment more than once in a twelve (12) month period or more than twenty-five (25)
days late in paying any one invoice, REP may request a deposit. The deposit will not exceed one sixth of the estimated
annual billings and will accrue interest at the rate specified by the PUCT if held for more than thirty (30) days. Any deposit
will be returned following the closing of the Customer’s accounts and the payment of any outstanding invoices.

10. REP’S RIGHTS
REP shall have the right to transfer Customer to the Provider of Last Resort (“POLR”) if any uncontested portion of billing
remain unpaid for thirty (30) days after the Due Date thereof, or if Customer breaches any other term or condition of this
Agreement and fails to remedy or correct the same within thirty (30) days after written notice of such breach from REP.
The transfer of Customer to the POLR shall be in addition to any and all other remedies available in this Agreement or
under the law.

11. DISCONNECTION FOR NON-PAYMENT
If the Customer fails to remit payment to the REP in accordance with the Billing and Payment provisions, REP may
instruct the TDSP to disconnect the electric service to Customer’s facilities. REP will not order the TDSP to disconnect
service for non-payment of legitimately disputed invoice amounts. Prior to disconnecting electric service, REP will provide
Customer proper notification and an opportunity to avoid disconnection by paying outstanding invoices.

12. EARLY TERMINATION
Should Customer switch the facilities listed on the Electric Agreement away from REP prior to end of the agreement term,
the Customer shall be charged $150.00 for early termination penalty. For Month-to-month contract, there is no
cancellation fee.

13. ADDITIONAL CHARGES AND FEES
Should REP, due to Customer’s delinquency, be required to send a past due collections letter, Customer may be charged
a thirty-five dollar ($35) collection fee. There will be a twenty-five dollar ($25) charge for the first check returned due to
non-sufficient funds; subsequent returned checks will result in a thirty-five dollar ($35) fee.
Should REP ultimately be required to use a third party collections agency to collect past due balances, there will be a
nineteen percent (19%) collections surcharge added to the amount due. If Customer’s refusal to pay legitimate invoices
requires REP to take legal action and REP’s claims are upheld, Customer agrees to pay REP’s reasonable legal costs
associated with this action.

Customers may be required to pay a fee for bill payment via electronic transaction to third-party vendors.
Fees varydepending upon payment type and vendor.
Also, please note that if REP has to reconnect electricity service to the Customer premise,
The Customer may Incur A Fee, as illustrated in the following chart.

14. Connection (Move In) & Switching Fees
The standard connection fee for a move in service order is $20. REP does not charge the Customer an on-cycle switching
fee. At the Customer request for the out-of-cycle switch, REP may assess the Customer a $10 switching fee.

15. Special Needs Customers
If the Customer is dependent on the provision of Electric Service to the extent that any interruption, suspension, or other
loss of Electric Service could cause a dangerous or life-threatening condition, the Customer must communicate this to
REP in writing, and obtain proof of actual delivery. In addition, REP rely on the Customer to notify REP of any special
circumstances related to the Customer facilities or consumption of Electric Service requiring notification to the Customer
Utility under its tariffs. Please be aware that the Customer Utility controls the electricity distribution service.

16. Meter Testing
As an electricity customer in the state of Texas, the Customer have the right to request a meter test once every four (4)
years at no cost to the Customer. If the Customer request additional meter tests within four years, and a meter test is
acceptable to standards approved by the PUCT, then the Customer may be charged a fee for the additional meter test
pursuant to the approved fee schedule in the Customer local transmission and Distribution Utility’s tariff.

17. Reconnection of Service
The Public Utility Commission of Texas has provided that under certain circumstances (such as unsafe electric line
situations), REP may authorize disconnection of the Customer service without prior notice to the Customer. In these
instances, REP will, upon satisfactory correction of the reasons for the disconnection, notify the Customer Transmission
and Distribution Service Provider to reconnect the electric service.

18. Terms of Service Changes
REP reserves the right to modify or terminate this Agreement, without penalty, in response to new or changed law, rule,
tariff, regulation, procedure or protocol, or interpretation thereof, or in response to changing market conditions, or if the
Customer usage or demand characteristics change, or if the information provided by the Customer to REP to make this
offer is in error or is inconsistent with the Customer load profile information that REP receives from the Customer Utility, in
each instance as determined by REP. Should REP make a material change or modification to this Agreement, REP will
notify the Customer 45 days in advance of such change or modification. Upon receiving this notice, the Customer has the
right to choose another REP. If the Customer do not contact REP within the notice period provided in the notice, REP will
continue to serve the Customer under these modified terms.

19. FORCE MAJEURE
A. If either Party is rendered unable by Force Majeure to carry out, in whole or in part, its obligations under this
Agreement and such Party gives notice and full details of the event to the other Party as soon as practicable
after the event, then during the pendency of such Force Majeure, but no longer period, the obligations of the
Party affected by the event (other than the obligation to make payments, then due or becoming due with respect
to performance prior to the event) shall be excused to the extent required. The Party affected by the Force
Majeure shall take all reasonable steps to remedy the effect of the Force Majeure event.
B. Force Majeure shall mean any act or event that is beyond the reasonable control, and without the fault or
negligence of, the Party whose performance under the Agreement is adversely affected, interrupted, or
precluded by the event. A Force Majeure event includes, but is not limited to, an act of God; labor disturbance;
act of public enemy; war; insurrection; riot; embargo; fire; storm; lightning; flood; explosion; breakage or
accident due to machinery or equipment; acts of other parties, including ERCOT, aggregators, other Retail
Electric Providers, qualified scheduling entities, TDSPs, and the respective employees and agents of such
parties; a curtailment order, regulation, or restriction imposed by a governmental, military, or lawfully
established civil authority; and any other condition beyond the control and without the fault of either Party.

20. LIMITATIONS OF LIABILITY
Liabilities not excused by reason of Force Majeure or otherwise shall be limited to actual direct damages. Neither REP nor
the Customer shall be liable to the other for consequential, incidental, punitive, exemplary or indirect damages. These
limitations apply without regard to the cause of any liability or damage.

21. REPRESENTATIONS AND WARRANTIES
The electricity sold under this agreement will meet the quality standards of the applicable local TDSP and will be supplied
from a variety of sources. REP makes no representations or warranties other than those expressly set forth in this
agreement, and expressly disclaims all other warranties, expressed or implied, including warranties of merchantability and
fitness for a particular purpose.

22. ASSIGMENT
Customer may not assign this Agreement, in whole or in part, or any of its rights or obligations hereunder without the prior
written consent of the REP. REP may, without Customer’s consent: (1) transfer, sell, pledge, encumber or assign this
Agreement or the accounts, revenues or proceeds hereof in connection with any financing or other financial arrangement;
(2) transfer or assign this Agreement to an affiliate of REP; (3) transfer or assign this Agreement to any person or entity
succeeding to all or substantially all of the assets of REP; and/or (4) transfer or assign this Agreement to a certified retail
electric provider. In the case of (2), (3) or (4), any such assignee shall agree in writing to be bound by the terms and
conditions hereof. Upon any such assignment, Customer agrees that REP shall have no further obligations.

23. GOVERNING LAW
This Agreement was executed in the State of Texas and shall in all respects be governed by, interpreted, construed and
enforced and in accordance with the laws thereof, without regard to principals of conflicts of laws. Venue shall be in Dallas
County, Texas.

24. REFUSAL OR CANCELLATION OF SERVICE
REP may refuse to provide service to Customer for one or more of the reasons specified in Section 25.477 of the PUCT
Substantive Rules. If service is denied, you will be notified of the Reason(s). REP or Customer may cancel this agreement
without any penalty.

25. ENTIRE AGREEMENT
This Agreement, together with the Electric Agreement, contains the entire understanding of the parties with respect to the
REP’s supply of electricity to the Customer. There are no promises, covenants or understandings other than those
expressly set forth in these executed documents. Any changes to this Agreement will be made as provided for in this
Agreement.

26. RESPONSIBILITIES OF THE TDSP, SERVICE OUTAGES
The TDSP maintains responsibility for the reliability of the electricity supply, as set forth in the TDSP tariffs approved by
the PUCT. The TDSP is responsible for distribution lines, meters and meter data, and the quality of power entering the
Customer’s facilities. Customer will receive TDSP services at the same prices and terms from any Retail Electric Provider,
including the affiliate of the incumbent utility.
